eTreego 2024 Cash Capital Increase Issuance Announcement

1.Capital Increase by Issuing New Shares:
To enhance operational funds, the Board of Directors of our company resolved on July 26, 2024, to issue new shares amounting to NTD 7,894,740. This will be divided into 7,894,740 shares, with a par value of NTD 1 per share. The shares will be issued at a premium price of NTD 19 per share, totaling NTD 150,000,060.

2.Allocation of Shares:
According to Article 267 of the Company Act, 10% of the total shares, amounting to 789,474 shares, will be reserved for employee subscription. The remaining 90%, amounting to 7,105,266 shares, will be offered to existing shareholders based on their shareholding ratio as recorded on the shareholder register on the subscription record date. Each 1,000 shares will entitle the shareholder to subscribe to 26.852191 shares. Any shares not subscribed by shareholders and employees will be allocated to specific individuals as authorized by the Chairman.

3.Bank Handling Subscription Payments:
The bank designated to handle the payment for the new shares is the Liuqiaozhuang Branch of CTBC Bank.

4.Important Dates and Deadlines:
(1) Share Transfer Suspension Period: August 9, 2024, to August 13, 2024.
(2) Record Date for Cash Capital Increase Subscription: August 13, 2024.
(3) Subscription and Payment Period for Existing Shareholders and Employees: August 15, 2024, to August 21, 2024.
(Subscription payment forms will be sent by registered mail to the address recorded on the company’s shareholder registry. Please use the form provided by the company to complete the subscription payment process.)
(4) Payment Period for Specific Individuals: August 22, 2024, to August 28, 2024.
(5) Record Date for Cash Capital Increase: August 29, 2024. If there is any change in the record date, it will be determined by the Chairman.
(6) Last Day for Share Transfers: August 8, 2024.

5.Share Transfer Registration:
In accordance with Article 165 of the Company Act, the company will suspend the registration of share transfers from August 9, 2024, to August 13, 2024. Shareholders who have not yet registered their shares are required to complete the registration process by 5:00 PM on August 8, 2024, at the company’s stock affairs agent, KGI Securities Co., Ltd. (5th Floor, No. 2, Section 1, Chongqing South Road, Zhongzheng District, Taipei City). For mail-in registrations, the postmark date of August 8, 2024, will be considered the last transfer date. Subscription payment forms will be sent by registered mail; if there is any change in address, please update it with the company’s stock affairs agent before the transfer suspension period.

6.Rights and Obligations:
The rights and obligations of the new shares issued in this cash capital increase will be the same as those of the existing shares.
